Official Rules

CONTEST IS VALID ONLY IN THE UNITED STATES (EXCLUDING PUERTO RICO) AND CANADA (EXCLUDING QUEBEC) – ENTRIES FROM PERSONS LIVING IN OTHER COUNTRIES WILL BE AUTOMATICALLY DISQUALIFIED.

GENERAL CONDITIONS:
The 2015 ACE Awards (the "Contest") is sponsored by UBM LLC, with a principal place of business at: 2 Penn Plaza,15th Floor, New York, NY 10121United States ("UBM" or "Sponsor"). The Contest is governed by these Official Rules, as well as by the laws of the State of New York and applicable United States federal law, without regard to any conflicts of laws principles. The Contest is void where prohibited or restricted by law. By entering the contest, each entrant agrees to abide by the terms of these Official Rules and by the decisions of Sponsors, which are final and binding on all matters pertaining to the Contest. The Contest is being run in connection with www.ubm-ace.com (the "Web Site") and is therefore also governed by UBM's Terms of Service and Privacy Statement, as well as other policies pertaining to the Web Site. These Official Rules will govern any conflict between any of the Web Site policies and these Official Rules. The Web Site policies may be viewed on the Web Site.

HOW TO ENTER:
The Contest entry period shall run during the dates specified below; late entries will not be taken. Individuals or companies may nominate themselves and their products and professionals either directly or through an agent. Eligible submissions must be submitted in the English language and be complete, with all fields completed. Required fields are noted on the submission form. Each question entry must not be longer than 500 words unless otherwise noted. Entries/submissions are not considered, nor will they be treated as confidential. You may nominate as many products or individuals, and as many categories as you would like. Multiple entries for the same category will be judged separately.

IN ORDER TO QUALIFY, THE NOMINATED ACHIEVEMENT(S) MUST HAVE TAKEN PLACE DURING THE 2014 CALENDAR YEAR.

To enter the Contest, complete the submission form online and follow the instructions found at www.ubm-ace.com, including payment of the entry fee.

Submission will be accepted from 12:00 AM EST January 26, 2015 through 11:59 PM EST April 24, 2015.

Sponsor reserves the right to disqualify any entries in its sole discretion.

Entries will be accepted for each of the following categories and will be judged as follows. The winner for each category will be announced at the awards event on July 22, 2015.

Categories:

1) Company of the Year
The winner will be selected based on its professionalism, staff development and retention, customer focus, technical excellence and profitable growth, including:

• The ability to exceed annual financial business goals and other market metrics set by management and/or third-party analysts for year-to-year performance.
• Advancement in rank or market order to surpass its competitors and gain a significant new industry, product or technology leadership position recognized by one or more independent industry observers.
• Introduction of a break-through product and/or technology that has the potential to alter the price/performance curve in a key product or technology area in electronics.
• A novel business or management practice that makes a significant contribution to improving the environment and/or quality of life for a region or country.
• Excellence and leadership in business practices and management in some or all of the following areas: capitalization and financing, research & development, hardware and/or software design, product design, device or system manufacturing, human resources management, marketing, PR and media relations, sales, and distribution.
• Judging criteria is as weighted equally on the above 5 points at 20% each.
• This category will be judged by a panel of judges made up of UBM Canon editors and representatives of the electronics industry. The judges will select up to five (5) finalists (actual number of finalists depends on the number of qualifying entries received) and one (1) winner.

2) Executive of the Year
The winner will be selected based on the leadership, and technological and fiscal vision brought to a company or business during a calendar year, including:

• Outstanding growth in business, patents, alliances or design wins.
• The ability to demonstrate success in the marketplace or the likelihood that the business will have a significant impact in some sector of the electronics market.
• Persistence shown in the face of technical, business and/or cultural hurdles.
• Judging criteria is as weighted equally on the above 3 points at 33% each.
• This category will be judged by a panel of judges made up of UBM Canon editors and representatives from the electronics industry. The judges will select up to five (5) finalists (actual number of finalists depends on the number of qualifying entries received) and one (1) winner.

3) Design Team of the Year
The winner will be selected on the basis of the creative, efficient and inspiring project management capabilities of the team, which led to a significant contribution to the furtherance of technology, including:

• The likelihood that the technology will make a significant impact in a sector of the electronic systems market.
• A novel and engaging way in which the technology delivers features.
• Techniques that led to faster design time and time to market.
• Exceptional creativity and persistence demonstrated by the team in the face of technical or business hurdles.
• Judging criteria is as weighted equally on the above 4 points at 25% each.
• This category will be judged by a panel of judges made up of UBM Canon editors and representatives from the electronics industry. The judges will select up to five (5) finalists (actual number of finalists depends on the number of qualifying entries received) and one (1) winner.

4) Innovator of the Year
The winner may be a researcher, engineer, manager, executive, venture capitalist or educator. The winner will be selected based on the leadership, creativity and out-of-the-box thinking brought to technology, a product or a business, including:

• Success in the initial phase of a technology, product or business.
• The likelihood that a technology, product or business will have a significant impact in some sector of the electronics market.
• Persistence shown in the face of technical, business and/or cultural hurdles.
• Judging criteria is weighted equally on the above 3 points at 33% each.
• This category will be judged by a panel of judges made up of UBM Canon editors and representatives from the electronics industry. The judges will select up to five (5) finalists (actual number of finalists depends on the number of qualifying entries received) and one (1) winner.

5) Marketing Team of the Year
The winner will be selected based on the following criteria:

• Demonstration of a high degree of creativity and novelty in executing on a specific campaign, product strategy, or marketing program
• Evidence of a measurable ROI on a specific campaign, product strategy, or marketing program, though metrics including social media activity, conversions, increased revenue, and/or other performance measurements
• Judging criteria is weighted on:
• 33% creativity and novelty of campaign/33% successful execution/33% ROI
• Note: The campaign, product strategy or marketing program or must have been launched between January 1, 2014-December 31, 2014.
• This category will be judged by a panel of judges made up of UBM Canon editors and representatives from the electronics industry. The judges will select up to five (5) finalists (actual number of finalists depends on the number of qualifying entries received) and one (1) winner.

6) STEM Impact Award, presented by the ECIA Foundation
Nominations are limited to companies and employees of companies in the electronics industry. Finalists will be chosen by the ECIA and posted to EE Times and EDN. The winner will be chosen by the EETimes and EDN communities. The winner will be selected based on the following criteria:

• Demonstration by an individual or company that showcases commitment to inspire and engage young people to be science, technology, engineering and math technology leaders.
• Evidence of program or participation required.
• Judging criteria for finalists is weighted 100% on demonstration of STEM inspiration and engagement pre-graduate [Middle school, high school, and/or college] young people.
• This category will be judged by the ECIA. The judges will select up to five (5) finalists (actual number of finalists depends on the number of qualifying entries received) and those finalists will be posted online with one (1) winner selected via a vote from the communities of EETimes and EDN.

7) Start Up of the Year
The winning company will be selected based on the following criteria:

• The business must be under three years old.
• Have working prototypes or have otherwise shown proof of concept.
• Have gone through and succeeded in at least one round of independent funding.
• Judging criteria is weighted equally on the above 2 points at 50% each.
• This category will be judged by a panel of judges made up of UBM Canon editors and representatives from the electronics industry. The judges will select up to five (5) finalists (actual number of finalists depends on the number of qualifying entries received) and one (1) winner.

8) Energy Technology Award
The Energy Technology Award recognizes a company that has introduced a renewable energy product, tool, or service making a significant impact on efforts to help conserve energy or create new energy sources.

The recipient will have demonstrated the successful introduction of a renewable energy product, tool or service to a broad market. Among the metrics for this award are:

• The scaling of development and/or manufacture of renewable energy products, tools and services;
• The development and expansion of a company's business partnerships through joint ventures, financial investors or other forms of collaboration that further the its business plan;
• Evidence that the company and its product, tool or service can compete in a global market often characterized by competition among nations rather than international companies.
• Putting federal or state funding or incentives, if any, to the best possible use to achieve the "biggest bang for the buck."
• Evidence that the new product, tool or service has the potential to create new manufacturing or other technology jobs.
• Judging criteria is weighted equally on the above 5 points at 20% each.
• This category will be judged by a panel of judges made up of UBM Canon editors and representatives from the electronics industry. The judges will select up to five (5) finalists (actual number of finalists depends on the number of qualifying entries received) and one (1) winner.

11) Ultimate Products
The Ultimate Products are electronic devices, components or subsystems that are deemed to be the best in their respective category. All nominations must be products that debuted in the market between January 1 and December 31st, 2014.

Judging criteria is as weighted as follows: 1) Breakthrough or highly enabling features or technology at 30%, 2) timeliness and suitability for target market(s) at 35%, and 3) community interest, based on page views and comments at 35%.

• This category will be judged by a panel of judges made up of UBM Canon editors and external people form the electronics industry for the first two criteria (Breakthrough or highly enabling features or technology, and Timeliness and suitability for target markets) and based on past usage data for the third criteria (Community interest, based on page views and comments).

6) Internet of Things Product of the Year
The winner will be selected based on the following criteria:

• Product must be introduced between January 1, 2014-December 31, 2014 and commercially available.
• Entries will be evaluated on the basis of the creativity and novelty of the design, uniqueness of the device and its features and functionality, and demonstration of utility in the marketplace, as well as evidence that the product is on its way to commercial success
• Judging criteria is weighted as follows:
• 40% novelty of the design, 35% uniqueness of features and functionality, and 25% utility in the marketplace.
• This category will be judged by a panel of judges made up of UBM Canon editors and the EETimes and EDN audiences. The judges will select up to five (5) finalists (actual number of finalists depends on the number of qualifying entries received) and one (1) winner.

AWARDING OF PRIZES & NOTIFICATION:
Winners will be announced July 22, 2015 at the awards event during EE Live!. Winners do not need to be present at the Awards Ceremony to win.

The odds of winning are determined by the total number of eligible participants.

Winner will be required to: (1) provide his or her full mailing address for the purpose of receiving the prize(s), which address must be within the 50 United States (excluding Puerto Rico) or Canada (excluding Quebec); (2) sign and return a release of liability, declaration of eligibility, and, where lawful, a publicity release, upon Sponsor's request; (3) verify his or her social security number or other taxpayer identification number; and (4) take possession of the prize(s) in the manner specified by Sponsors. In addition, selected Canadian entrants must first correctly answer a time-limited mathematical skill testing question administered by telephone in order to claim a prize. If the above requirements are not met, the prize(s) may be awarded to a replacement winner. The replacement winner will need to satisfy all of the requirements of these Official Rules. This process will be repeated until the prize(s) are awarded in full.

PRIZE(S):
The following prizes will be awarded (collectively the "Prizes"): One (1) ACE 2015 award plaque and recognition on UBM media properties for each Winner. Winners are entitled to use the ACE Awards award logo, as provided by UBM, for one (1) year in promoting Winner's company or the specific product/service of Winner that won the Prize in this Contest, provided that such usage is in line with the UBM logo usage guidelines.

In the event of unavailability of a stated prize, Sponsor reserves the right to substitute items of equal or greater value. Prizes are not transferable, exchangeable, or redeemable for cash. Reporting and payment of any federal, state, provincial, local, VAT, or other taxes, fees, customs, duties, insurance, or other amounts owed in connection with any prize are the sole responsibility of the winner. Winner will be required to sign and return an affidavit of eligibility, liability release and grant permission to use his/her name and likeness for advertising and promotion (without further compensation) within 21 days of notification or alternate winner will be selected. (Tennessee residents need not complete and return a publicity release.)

EACH PRIZE IS GIVEN AWAY BY SPONSOR "AS-IS." SPONSORS DO NOT MAKE, AND HEREBY DISCLAIM, ANY WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, REGARDING ANY PRIZE, INCLUDING WITHOUT LIMITATION ANY IMPLIED OR STATUTORY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Nothing contained herein grants, nor shall it be interpreted to grant, any rights in or to any UBM trademarks or other intellectual property except for the limited right granted to Winners to use the Best in Test award logo, as provided to Winners by UBM, for limited promotional purposes.

ELIGIBILITY:
The Contest is open to any natural person who is a legal resident of the 50 United States, including the District of Columbia (excluding Puerto Rico) and Canada (excluding Quebec), who is 18 years or older at the time of entry and who is a member of the Web Site. Officers, directors, and employees of Sponsors and/or their parents, subsidiaries, affiliates, divisions, or agents (including but not limited to advertising, promotion and production agencies) and members of their immediate families (including spouse, parents, siblings, grandparents, grandchildren, step-children, step-parents and in-laws) or those with whom they are domiciled are not eligible.

DISQUALIFICATION:
Sponsors reserves the right, in its sole discretion, to disqualify any entrant that Sponsors determine: (1) has tampered with the entry process or the operation of the contest; (2) has acted in an unsportsmanlike or disruptive manner or with the intent to annoy or harass Sponsors or any other person or entity; (3) has not satisfied all of the requirements for entry in the contest; or (4) to be otherwise ineligible under, or otherwise in violation of, these Official Rules. Any attempt by an entrant to commit any of the above acts of misconduct may be a violation of civil or criminal law and Sponsors reserve the right to seek damages from such entrant to the fullest extent permitted by law.

LIABILITY/TERMS AND CONDITIONS:
By entering the contest you agree to participate at your own risk. By entering, each entrant releases and holds harmless Sponsors, any manufacturer or supplier of any prize, any other persons or entities involved in the contest, each of its and their respective parents, subsidiaries, and affiliates, and each of its and their respective officers, directors, employees, and agents, from any responsibility or liability whatsoever arising out of or resulting from: (1) entry or participation in the contest; (2) the acceptance, possession, or use of any prize; (3) any violation by such entrant of these Official Rules or applicable laws; (4) any incorrect or inaccurate entry of information including, but not limited to as a result of technical malfunctions, human error, lost/delayed data transmission, omission, interruption, deletion, defect, line failures of any telephone network, computer equipment, software or any combination thereof; (5) entry materials that have been tampered with, or entries that are illegible, late, lost, damaged, postage due or misdirected; (6) any injury or damage to participants or any other person or property to or resulting from participation or downloading any material in connection with the contest; and (7) any conditions arising from events beyond Sponsors' reasonable control. By entering the Contest you acknowledge that you have the right to enter your photograph in the Contest (including, but not limited to, ownership of the photograph and the express permission of any individuals included in your photograph) and you assume all liability arising from your actions.

WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, NEITHER SPONSORS NOR ANY OF THE AFOREMENTIONED PARTIES SHALL BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE CONTEST, HOWSOEVER CAUSED, WHETHER ARISING IN STATUTE, TORT, CONTRACT, OR OTHER LEGAL THEORY, AND REGARDLESS OF WHETHER SUCH PARTY WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND ALL SUCH DAMAGES ARE HEREBY DISCLAIMED AND EXCLUDED.

PUBLICITY:
By entering, each entrant grants to Sponsors the right to use and publish such entrant's name, state of residence, and any other information in any winning entry both online and in print, in connection with the contest, without additional compensation, except to the extent prohibited by law. In addition, by entering, each entrant consents to the use of their names and likeness for advertising and/or promotional and/or marketing purposes without additional compensation. (A Tennessee resident consents to the use of his name and likeness only if such Tennessee resident expressly consents to such use.) Sponsors reserve the right to use any information provided by entrants in connection with the Contest in any manner permitted by these Official Rules.

TERMINATION:
Sponsors reserve the right, in their sole discretion, to cancel, terminate, modify, or suspend the Contest at any time for any reason, including but not limited to any reason that affects the administration, security, fairness, integrity, or proper conduct of the contest. Such reasons included but are not limited to fraud, tampering, unauthorized access, infections by computer virus, bugs, technical failures, or any other causes beyond the control of Sponsors. In the event that Sponsor terminates the Contest before all Prizes are awarded, Sponsor shall award all Prizes earned up to the effective date and time of termination and no other Prizes will be awarded.

NO ENDORSEMENT:
Nothing contained in these Official Rules or in any of the Contest materials should be construed as an endorsement by Sponsors of any prize manufacturers or suppliers or other third party, product, or service.
